CONSTITUTION
RODING ROAD ALLOTMENT & LEISURE GARDENS ASSOCIATION
(1) The name of the Association shall be RODING ROAD ALLOTMENT & LEISURE GARDENS ASSOCIATION.
(2) The objectives of the Association shall be to promote the cultivation of allotments in Loughton at Roding Road. In furtherance of the above objectives but not further or otherwise:
(a) provide facilities for regular meetings and lectures
(b) to buy and sell to members horticultural sundries etc. and provide facilities for these purposes
(c) publish a Newsletter to members and for general distribution in the area
(d) co-operate with other Associations having similar objectives
(e) do all such other lawful things as shall be necessary for the furtherance of the above objectives
(3) Membership of the Association shall be open to all persons holding an allotment on the Association's site.
(4) Rent levels shall be determined by the Annual General Meeting of the Association. Any such resolution shall embody such direction as Loughton Town Council may give as to the rent for senior citizens.
(5) The Association at its Annual General Meeting may elect such members, as it deems worthy and honourable, as officers of the Association, subject to positions being available. Such members must have served at least two years as a committee member.
(5a) If an Officer resigns from the committee, for whatever reason, the Committee has power to co-opt a committee member to an officer position, whether or not two years service as a committee member has been completed. The Officer to be ratified at the next Annual General Meeting.
(6) The Officers of the Association shall comprise Chairman, Vice Chairman, Secretary, Treasurer and such other officers as shall from time to time be necessary.
(7) The affairs of the Association shall be conducted by a committee which will consist of not more than ten members who must reside in the Loughton Town area, and the committee shall consist of Officers and elected members. The committee shall have the power to co-opt, and five members including two officers shall be a quorum.
(7a) All nominations to be elected to the committee must be in written form, and received by the Secretary seven working days before the Annual General Meeting.
(7b) Members of the Association can only be elected to the committee if they have been a member of the Association for at least two years.
(7c) Rules and/or regulations shall come into force upon the date any such rule (regulation) is approved by, and at, a General Meeting, (Annual or Extraordinary). No rule (regulation) shall ever apply retrospectively.
(8) The Committee shall maintain a banking account on behalf of the Association into which all monies received shall be paid. The committee shall have power to invest surplus funds.
(9) The Association shall hold an Annual General Meeting in the month of December each year, members being given at least a calendar month's notice of the date. At this meeting an Annual Report and Audited Accounts to 31st March shall be presented, and Officers and Committee members shall be elected, any amendments being notified to Loughton Town Council. A copy of the accounts must be sent to Loughton Town Council. A General Meeting must be called if requisitioned by not less than fifty members.
(10) The Association may be dissolved by a Resolution passed at an Extraordinary General Meeting convened for the purpose, of which twenty-eight days notice shall have been given to the members. Any assets remaining on dissolution shall not be paid to or distributed among the members of the Association, but shall be given or transferred to such charitable institutions, or institutions having objectives similar to some or all of the objectives of the Association.
(11) No alteration or addition to these Rules is to be made save at, and by, a General Meeting, (Annual or Extraordinary). Notice of proposals for such amendments shall be sent to the Secretary not less than twenty-eight days before the General Meeting at which they shall be considered, and shall be circulated with the Notice of the Meeting and the Agenda of the business to be transacted.
